TITLE AND RISK OF LOSS; SECURITY INTEREST Title to and all risk of loss or damage to the products vests in Purchaser at the time Seller delivers the products to the carrier regardless of any shipping and insurance arrangements made by Seller on Purchaser's behalf. However, Seller reserves, until full payment is received, a purchase money security interest in each product delivered. 6. RETURNS Product returns will be accepted only after Purchaser receives Seller's prior written approval as follows: (a) For returns authorized due to Purchaser's rightful rejection or justifiable revocation of acceptance of the products, Seller will pay for reasonable commercial charges for the product return and, in addition, will, at Seller's option, refund or credit the full purchase price upon return of the products. No request for returns based on damage or defective products will be approved unless received within the time periods set in No. 4 and No. 7; (b) Where Seller determines, in its sole discretion, to accept returns for the convenience of Purchaser, the products are to be returned to the point of shipment, at Purchaser's expense, properly packed. FORCE MAJEURE Seller shall not be liable, nor deemed in default hereunder, for any failure or delay in delivering the products or in the performance of its other obligations to Purchaser hereunder, caused by or arising out of: (a) compliance in good faith with any applicable foreign or domestic governmental regulation or order of whatever nature and whether foreign, federal, state, or local; (b) all acts of God (such as, but not limited to, floods, fires, or tornados); (c) strikes and other labor trouble; (d) delays or nonperformance by suppliers (or other third parties) of raw materials, power or other needed supplies or services; (e) delays or nonperformance by transporting carriers; and/or (f) any other cause, contingency, or circumstance not subject to the reasonable control of Seller affecting the performance of Seller's obligations hereunder. Seller shall determine in good faith the extent to which it can reasonably control a cause, contingency, or circumstance affecting its performance obligations. 11. DEFAULT In the event of Purchaser's default, Purchaser agrees to pay all costs and expenses, including reasonable attorneys' fees, incurred by Seller in the event Seller reasonably anticipates a default by Purchaser, whether involving collecting payments due or otherwise enforcing these Terms. Purchaser also agrees to pay Seller simple interest on unpaid amounts from due date at the lesser of 1-1/2% per month or the highest lawful rate. 12. SEVERABILITY If any of these provisions are determined to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remainder of these Terms shall be unaffected. Also there shall be substituted for the affected provision a valid and enforceable provision as similar as possible to the affected provision. 13. MODIFICATION OR TERMINATION These Terms and specific order provisions contained on Seller's order set are the entire contract between the parties with respect to this order. This cancels and supersedes all previous agreements, conformations, and terms of sale, oral or written. GOVERNING LAW; JURISDICTION This Agreement is to be governed by, and interpreted according to, the internal laws of the State of Texas without regard to its choice of law provisions. Vitra warrants its vitreous china plumbing fixtures to be free from manufacturing defects under normal use and service for a period of 10 (ten) years from the date of purchase. This warranty is extended only to the original purchase. 2. Vitra’s obligation under this warranty is limited to repair or replacement at Vitra’s option, of products or parts found to be defective, provided that such products were properly installed and used in accordance with instructions. Vitra reserves the right to make such inspections as may be necessary in order to determine the cause of the defect. Vitra is not responsible for the cost of removal, return or reinstallation of products. 3. This warranty does not apply to the following items. a. Damage or loss sustained in a natural calamity such as fire, earthquake, flood, thunder, electrical storms etc. b. Damage or loss resulting from any unreasonable use, misuse, abuse, negligence, or improper maintenance of the product. c. Damage or loss resulting from removal, improper repair, or modification of the product. d. Damage or loss resulting from sediments or foreign matter contained in water system. e. Damage or loss resulting from improper installation or from installation of a unit in harsh and/ or hazardous environment. f. Tank flushing mechanisms of plastic or rubber moving parts. g. Toilet seats of plastic, wood, duroplast or metal.   4. This warranty gives you specific legal rights. You may have other rights, which vary form state to state. 5. To obtain warranty repair service under this warranty, you must take the product or deliver it prepaid to a VITRA manufacturer representative’s facility together with a letter stating the problem, or contact a Vitra distributor or products service contractor, or write directly to VITRA U.S.A. INC, 1645 Lakes Parkway Ste A, Lawrenceville GA 30043 . If because of the size of the product or nature of the defect, the product cannot be returned to Vitra, receipt by Vitra of written notice of the defect shall constitute delivery. In such case, Vitra may choose to repair the product at the purchaser’s location or to pay to transport the product to a service facility. This written warranty is the only warranty made by Vitra. Repair or replacement as provided under this warranty shall be the exclusive remedy available to the purchaser. Vitra shall not be responsible for loss of the product or for other incidental, special or consequential damages or expenses insured by the purchaser, or for labor or other costs due to installation or removal, or cost of repairs by others, or for any other expenses not specifically stated above. Except to the extent prohibited by applicable law, any implied warranties, including that of merchantability or fitness for use, are expressly limited to the duration of this warranty. Some states do not allow limitations on how long an implied warranty lasts or the exclusion or limitation of incidental or consequential damages, so the above limitation and exclusion may not apply to you. VitrA shall not be responsible or liable for any failure of, or damage to, this product or product component caused by either chloramines in the treatment of public water supply or in tank bowl cleaners containing chlorine (calcium hypochlorite). Warranty applies to defects in material and workmanship only. Wedge Industries, Inc. will not warranty any product that has been abused or installed improperly (see Safety Instructions). Wedge Industries, Inc.'s warranty is limited to the sale price of the product as sold by us, and at our discretion we will either repair or replace any defective product.
